IMPORTANT: These Terms contain an arbitration agreement and class action waiver that affect your rights. Please read them carefully.

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and LandLedger LLC (doing business as LandLedger) ("we," "us," or "our") concerning your access to and use of the LandLedger website (https://www.getlandledger.com), mobile application, and all related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you may not access or use the Services.

2. ELIGIBILITY

2.1 Age Requirement

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2.2 Geographic Availability

The Services are currently available in Nigeria, Ghana, and Cameroon. By using the Services, you represent that you are located in one of these countries.

2.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3. USER ACCOUNTS

3.1 Account Creation

To use certain features of the Services, you must create an account. You may register as:

  • Property Owner: To post jobs and hire workers
  • Worker: To find jobs and submit bids
  • Both: To access both sets of features

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

3.3 One Account Per Person

You may only create one account. Multiple accounts for the same person are prohibited and may result in suspension or termination.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent activity
  • Abusive behavior
  • Any other reason at our sole discretion

4. HOW LANDLEDGER WORKS

4.1 Platform Overview

LandLedger is a marketplace platform that connects property owners with skilled workers for home repair and improvement services. We facilitate the connection but are not party to the actual service agreements between users.

4.2 For Property Owners

As a Property Owner, you may:

  • Post job listings (Capital Improvement Funds or "CIFs")
  • Review bids from workers
  • Select and hire workers
  • Make payments through our secure escrow system
  • Rate and review workers after job completion

4.3 For Workers

As a Worker, you may:

  • Browse available jobs in your area
  • Submit competitive bids
  • Communicate with property owners
  • Complete jobs and upload completion photos
  • Receive payment upon job confirmation
  • Build your reputation through ratings

4.4 Escrow Payment System

All payments are processed through our secure escrow system:

  1. Property owners pay upfront when accepting a bid
  2. Funds are held in escrow during job completion
  3. Workers receive payment after property owner confirms satisfactory completion
  4. Platform fees are deducted from worker payment

5. USER RESPONSIBILITIES

5.1 Property Owner Responsibilities

Property owners agree to:

  • Provide accurate job descriptions
  • Set reasonable budgets and timelines
  • Communicate clearly with workers
  • Pay for accepted work upon satisfactory completion
  • Provide honest ratings and reviews
  • Not cancel accepted jobs without valid reason

5.2 Worker Responsibilities

Workers agree to:

  • Accurately represent their skills and experience
  • Submit honest, competitive bids
  • Complete work according to agreed specifications
  • Upload accurate completion photos
  • Maintain professional conduct
  • Not abandon accepted jobs without valid reason

5.3 Prohibited Conduct

All users are prohibited from:

  • Posting false, misleading, or fraudulent information
  • Harassing, threatening, or abusing other users
  • Attempting to circumvent the platform to avoid fees
  • Using the Services for any illegal purpose
  • Sharing account credentials
  • Impersonating another person or entity
  • Posting spam or unauthorized commercial content
  • Attempting to manipulate ratings or reviews
  • Violating any applicable laws or regulations

6. PAYMENTS AND FEES

6.1 Payment Processing

All payments are processed through Paystack, our third-party payment processor. By using the Services, you agree to Paystack's terms and privacy policy.

6.2 Platform Fees

LandLedger charges a service fee of 4-5% on completed transactions. This fee is deducted from the worker's payment before disbursement.

Example:
Job agreed price: ₦50,000
Platform fee (5%): ₦2,500
Worker receives: ₦47,500

6.3 Escrow System

When a property owner accepts a bid:

  1. Property owner pays the agreed amount
  2. Funds are held in escrow by Paystack
  3. Worker completes the job
  4. Property owner confirms completion
  5. Funds are released to worker minus platform fee

6.4 Payment Disputes

If a dispute arises regarding payment:

  • Property owners may withhold payment if work is not completed satisfactorily
  • Workers may dispute non-payment for completed work
  • LandLedger will investigate and mediate disputes
  • Our decision on payment disputes is final

6.5 Refunds

Refunds may be issued in the following circumstances:

  • Job is cancelled before work begins (full refund to property owner)
  • Work is not completed and worker is at fault (full refund to property owner)
  • Work is partially completed (pro-rated refund determined by LandLedger)

6.6 Taxes

Users are responsible for determining and paying all applicable taxes related to their use of the Services.

7. RATINGS AND REVIEWS

7.1 Rating System

After job completion, both parties may rate each other on a 5-star scale and leave written reviews.

7.2 Review Guidelines

Reviews must:

  • Be honest and based on actual experience
  • Not contain offensive or abusive language
  • Not violate another person's privacy
  • Not contain personal information (phone numbers, addresses, etc.)
  • Relate to the specific transaction

7.3 Review Moderation

We reserve the right to remove reviews that:

  • Violate these Terms
  • Contain false or misleading information
  • Are abusive, threatening, or harassing
  • Violate applicable laws

7.4 Review Disputes

If you believe a review is unfair or violates these Terms, you may report it. We will investigate and take appropriate action at our discretion.

8. INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks ("LandLedger Content"), are owned by LandLedger LLC and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

8.3 User Content

You retain ownership of any content you submit to the Services (job postings, bids, photos, reviews, etc.). However, by submitting content, you grant LandLedger a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting the Services.

8.4 Prohibited Uses

You may not:

  • Copy, modify, or create derivative works of LandLedger Content
  • Reverse engineer or attempt to extract source code
  • Use automated systems (bots, scrapers) to access the Services
  • Remove copyright or proprietary notices
  • Use LandLedger trademarks without permission

9. COMMUNICATIONS

9.1 Platform Communications

Users may communicate through:

  • In-app messaging (if available)
  • WhatsApp groups created by LandLedger
  • Direct contact after bid acceptance

9.2 Off-Platform Conduct

While we facilitate WhatsApp communication, we are not responsible for communications that occur outside the LandLedger platform.

9.3 Prohibited Communications

Users must not:

  • Request or share payment outside the LandLedger escrow system
  • Share personal financial information (bank details, passwords)
  • Engage in harassment or abusive language
  • Solicit users for other services or platforms

10. LOCATION DATA AND MAPPING

10.1 Location Services

LandLedger uses location data to:

  • Match workers with nearby jobs
  • Calculate distance between workers and properties
  • Provide mapping services for properties without formal addresses

10.2 Polygon Drawing for Unmapped Properties

For properties without formal addresses, you may use our polygon drawing tool to mark your property's location on a map.

10.3 Privacy of Location Data

Your exact property location is only shared with workers after you accept their bid. Workers see general area and distance until then.

10.4 Google Maps

We use Google Maps Platform APIs. Your use of location features is also subject to Google's Privacy Policy and Terms of Service.

11. DISCLAIMERS AND LIMITATIONS OF LIABILITY

IMPORTANT: LandLedger is a marketplace platform that connects property owners with workers. We do not:

  • Employ workers
  • Guarantee the quality of work performed
  • Verify worker credentials, licenses, or qualifications
  • Provide insurance for jobs or injuries
  • Act as a party to service agreements between users

11.2 User Responsibility

You acknowledge that:

  • You are responsible for verifying worker qualifications
  • You enter into agreements with other users at your own risk
  • LandLedger is not liable for disputes between users
  • You should exercise caution and good judgment

11.3 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDLEDGER SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or goodwill
  • Property damage or personal injury
  • Disputes between users
  • Acts or omissions of third parties (workers, property owners, payment processors)

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES YOU PAID TO LANDLEDGER IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11.5 Disputes Between Users

If a dispute arises between a property owner and worker:

  • LandLedger may offer mediation but is not obligated to do so
  • Our mediation decisions are final but not legally binding
  • Users may pursue legal remedies independently
  • LandLedger is not liable for the outcome of user disputes

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless LandLedger LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another person
  • Your conduct in connection with the Services
  • Work performed or services received through the platform

13. ARBITRATION AND DISPUTE RESOLUTION

13.1 Informal Resolution

Before filing a claim, you agree to contact us at info@getlandledger.com to attempt to resolve the dispute informally.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration rather than in court, except that:

  • You may bring claims in small claims court if they qualify
  • Either party may seek injunctive relief in court for intellectual property infringement

13.3 Arbitration Procedures

  • Arbitration shall be conducted by a single arbitrator
  • Arbitration shall take place in Lagos, Nigeria or remotely via video conference
  • The arbitrator's decision is final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction

13.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS PART OF A CLASS ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@getlandledger.com within 30 days of creating your account.

14. GOVERNING LAW AND JURISDICTION

14.1 Governing Law

These Terms shall be governed by the laws of Nigeria, without regard to conflict of law principles.

14.2 Jurisdiction

To the extent arbitration does not apply, you agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria.

15. MODIFICATIONS TO TERMS

15.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Services.

15.2 Notice of Changes

We will notify you of material changes by:

  • Email to your registered email address
  • In-app notification
  • Prominent notice on the website

15.3 Continued Use

Your continued use of the Services after changes constitute acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

16. TERMINATION

16.1 Termination by You

You may terminate your account at any time by:

  • Logging into account settings and deleting your account
  • Contacting us at info@getlandledger.com

16.2 Termination by Us

We may suspend or terminate your account immediately, without notice, for:

  • Violation of these Terms
  • Fraudulent activity
  • Abusive behavior toward other users
  • Illegal activity
  • Any reason at our sole discretion

16.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your account and content
  • Obligations accrued before termination remain in effect
  • Pending jobs and payments will be handled according to our policies

17. GENERAL PROVISIONS

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LandLedger.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.6 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.

17.7 Language

These Terms are provided in English. Any translations are for convenience only.

19. ACKNOWLEDGMENT

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
